On December 27, 2022, Exelon Corporation (Exelon) announced that it had extended its offers (the “Exchange Offers”) to exchange any and all of the $2.0 billion in aggregate principal amount of unregistered notes that the Company issued in a private placement on March 7, 2022 for a like principal amount of notes with identical terms that have been registered under the Securities Act of 1933, as amended. The Exchange Offers will now expire at 5:00 p.m., New York City time, on January 6, 2023, unless further extended. A copy of the press release issued on December 27, 2022 announcing the extension of the Exchange Offers is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
