Section 5 – Corporate Governance and Management
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 29, 2021, Exelon Corporation (“Exelon”) announced the appointment of Calvin G. Butler, Jr. as its Senior Executive Vice President and Chief Operating Officer, effective immediately.
In connection with his new role, Mr. Butler’s compensation will include an annual base salary of $900,000, an annual incentive program target opportunity of 100% of his base salary, and a long-term incentive target valued at $3,200,000, consistent with the Exelon Long-Term Incentive Plan. Long-term incentives (“LTI”) include performance share awards (accounting for sixty-seven percent of target LTI value) and restricted stock units (accounting for thirty-three percent of target LTI value). Payouts on both the annual incentive program and the performance share awards will be based on the achievement of pre-established performance targets. Mr. Butler remains eligible for benefits similar to those of other Exelon executives, including, without limitation, participation in Exelon’s health, welfare, retirement, relocation and severance plans.
Mr. Butler also remains the interim Chief Executive Officer of Commonwealth Edison Company until November 15, 2021, as previously disclosed by Exelon subsidiary, Commonwealth Edison Company on October 14, 2021. Mr. Butler, age 52, previously served as Chief Executive Officer of Exelon Utilities since 2019, and as Chief Executive Officer of Baltimore Gas and Electric Company, a subsidiary of Exelon, from 2014 to 2019.
