                           CERTIFICATE OF NOTIFICATION

Certificate is filed by Exelon Corporation and Commonwealth Edison Company
(ComEd).

This certificate provides notice that the above companies have issued, renewed
or guaranteed the security or securities described herein which issue, renewal
or guaranty was exempted from the provisions of section 6(a) of the Act and was
neither the subject of a declaration or application on Form U-1 nor included
within the exemption provided by Rule U-48.

         Refunding Bonds.

         accrue interest as FLOATs (Floating Auction Tax-Exempts). The bonds
         will bear interest from their date of delivery at the rate established
         for the initial auction period which ends on July 8, 2002, and
         thereafter at the auction rate established for each auction period.

5.       Date of issue, renewal or guaranty of each security: June 4, 2002.

6.       If renewal of security, give date of original issue: June 1, 1991.

7.       Date of maturity of each security (in the case of demand notes,
         indicate demand): April 15, 2013.

9.       Collateral given with each security: First mortgage.

Application of proceeds for each security: To provide funds necessary to redeem the 7 1/4% Pollution Control Refunding Bonds, series 1991 (Commonwealth Edison Company Projects) originally issued in the aggregate amount of $100,000,000 and all of which are currently outstanding. 12.
